Purchase Terms & Conditions

These Purchase Terms & Conditions govern all purchases made through Storefront Legal. Please read them carefully before placing an order.

Section 1: Definitions

1. Definitions

1.1 Purchaser – the natural or juristic person that completes and submits an online purchase /

enrolment / subscription order and concludes this Agreement (including on behalf of a Student).

1.2 Student – the natural person who accesses/uses the educational content, mentoring, tools,

platforms and related services (the Student may also be the Purchaser).

1.3 Account Holder – the natural or juristic person responsible for payment, whose card/bank

account is used and who authorises initial and recurring charges.

1.4 Diversit‐e Smart Trade College (Pty) Ltd (DSTC) – South African private company; Seller and

copyright owner/licensor of Smart Online Trader LMS content.

1.5 Smart Online Trader LLC (SOT LLC) – authorised Reseller Agent of DSTC products & services.

1.6 LMS / SOT LMS – Smart Online Trader Learning Management System (online tutoring platform,

portal, apps, tools and content). Content is accessed via https://vt.smartonlinetrader.com

1.7 Smart Online Trader Evaluation (SOTE) – a prop‐firm style challenge comprising one or more

simulated trading evaluations with stated rules (e.g., loss limits, targets, drawdowns). Not

investment advice, brokerage, portfolio management, or access to live funds; evaluates trading

performance only. Breach may result in disqualification without refund.

1.8 Smart Online Trader Funded Account (SOTFA) – a funded‐account style programme possibly

offered by a third‐party prop‐firm/partner to a successful SOTE participant, under that provider’s

own rules, agreements, KYC/AML and payout processes. Neither DSTC nor SOT LLC acts as

broker/counterparty.

1.9 Subscriptions / Membership Options – paid, time‐limited access packages to SOT LMS/mentoring

and benefits:

1.9.1 Comprehensive Membership

1.9.1.1 Fixed 12 months;
1.9.1.2 Cancellation on 30 business days’ written notice to [email protected];

1.9.1.3 Cancellation fee of 40% calculated at the remaining term’s value is payable.

1.9.2 Premium Membership:

1.9.2.1 Fixed 12 months;

1.9.2.2 Cancellation on 20 business days’ written notice to [email protected]

1.9.2.3 Cancellation fee of 40% calculated at the remaining term’s value is payable.

1.9.2.4 Inclusions:

1.9.2.4.1 SOTE activation only after the 6th subscription fee is paid;

1.9.2.4.2 SOTFA only after successful SOTE and after the 11th subscription fee is paid (subject to all

third‐party terms and verifications).

Section 2: Products and Services

2.1 SOT LMS (Online Educational Services)

2.1.1 A 14‐module online curriculum (Forex, Commodities, Indices, CFDs) plus resources (Online

Traders’ Essentials, eBooks library, Economic Calendar).

2.1.2 Requirements: compatible smart device and reliable, stable internet with sufficient data.

2.1.3 Content changes: DSTC may add, amend, update or remove content (including due to

third‐party dependencies or force majeure). Licence: personal, non‐exclusive, non‐transferable,

revocable during the paid term.

2.2 Mentoring (Online and/or In‐Person)

2.2.1 Technical training, coaching and Q&A in live/scheduled sessions. Subject to availability;

missed/late‐cancelled sessions may be forfeited. Educational only (no financial advice).

2.3 SOTE (Prop‐Firm Style Evaluation)

2.3.1 Simulated trading evaluations with published rules; rule breaches can cause immediate

failure/disqualification without refund. No guarantee of funded‐account offers.

2.4 SOTFA (Third‐Party Funded Programmes)

2.4.1 If offered post‐evaluation, governed solely by third‐party terms (profit‐split, payouts,

instruments, risk controls, KYC/AML, tax). Payments/payouts are handled by that provider.

2.5 QuickTrade.World Online Trading Platform (Broker Platform)

2.5.1 Designation: QuickTrade.World is the online trading platform used for executing online trading

services.

2.5.2 Scope: All online trading services, including SOTE & SOTFA, are executed via the

QuickTrade.World platform.

2.5.3 Broker Mandate: By registering a profile on QuickTrade.World, you accept the broker’s

mandate and respective terms & conditions (including risk disclosures, product schedules, fees

and operational rules).

2.5.4 Third‐Party Status: QuickTrade.World and related broker agreements are third‐party to this

Agreement and govern platform use, execution, instruments, payouts and compliance.

2.5.5 KYC/AML: Registration and access may be subject to verification requirements under the

broker’s policies and applicable law.

2.6 Onboarding SLA

2.6.1 Onboarding onto the SOT LMS and the QuickTrade.World platform is scheduled within 48

business hours of cleared payment and receipt of required registration details (and, where

applicable, completion of broker KYC/verification). Business hours align to Africa/Johannesburg

working days/hours.

Section 3: Purchaser Warranties

3.1 All order information is true and correct; capacity/authority exists to conclude this Agreement.

3.2 Purchaser was allowed to review the object of purchase before acceptance.

3.3 Purchaser satisfied him/herself with the object and its operation for intended purposes.

3.4 Before conclusion, Purchaser ensured device/software/capacity compatibility; Seller accepts no

responsibility for compatibility.

3.5 Purchaser was allowed to read this and all respective Agreement before electronic acceptance.

Section 4: The Seller

4.1 DSTC may authorize Reseller Agents (including SOT LLC) to offer/sell the object of purchase.

Section 5: Governing Law, Domicilium & Notices

5.1 This Agreement is governed by South African law.

5.2 Each party chooses its FICA and/or email address on the online purchase order as domicilium for

notices/legal process. Changes to domicilium take effect 7 days after written notice (street

address; not a P.O. Box).

5.3 Deemed receipt: email (on transmission, subject to proof and admission of receipt).

5.4 Calls to/from the Seller may be recorded; the Purchaser agrees to such recordings.

Section 6: Commencement, Delivery, Access

6.1 Commencement: on completion of checkout and electronic acceptance.

6.2 SOT LMS URL: https://vt.smartonlinetrader.com once payment clears; use of any part of the

content/platform is deemed acceptance, delivery and “installation”.

6.3 No‑use does not void Agreement.

Section 7: Object of Purchase; IP & Platforms

7.1 Course/Mentoring for self‑directed trading (FOREX, CFDs, US Stocks CFDs, Commodities, Indices,

Crypto).

7.2 MetaTrader/WebTrader/QuickTrade.World are third‑party platforms; Seller is not the IP owner

and accepts no responsibility for availability, functionality or access.

7.3 Signals/ideas (e.g., Telegram) are educational only; not advice or recommendations.

7.4 All IP remains the property of DSTC or suppliers; personal, non‑transferable licence during paid

term only. No copying/sharing/reselling/broadcasting/derivatives/training of models without

prior written consent.

7.5 Passwords/logins may not be shared; breach may result in suspension/termination without

refund.

Section 8: Fees, Pricing, Taxes, Internet

8.1 Agreement Amount appears at checkout; invoices/receipts provided electronically. Prices may be

in ZAR/USD; issuer FX rates/fees may apply. SA VAT applies where required.

8.2 Internet/data are for the Purchaser’s account; device suitability remains the Purchaser’s

responsibility.

Section 9: Payments, Cars & Recurring Billing

9.1 Payment methods: card, EFT, finance, or monthly debit order/payment plan (as selected at

checkout).

9.2 Card security: PCI‑DSS compliant gateway with tokenisation; Seller does not store full card data.

3‑D Secure/SCA may apply.

9.3 Recurring payments: charges recur per interval until cancelled per these Terms; keep payment

details current; failed payments may be retried.

9.4 Debit orders: termination of a debit order does not cancel this Agreement; all sums remain

payable on demand by other means.

9.5 If any payment fails, the Purchaser and any Further Party remain jointly and severally liable. EFT:

Diversit‑e Smart Trade College – FNB – Current a/c 626 259 35377 – Branch 250 655 (Centurion).

9.6 Non‑payment: consent to lawful listings with national credit bureaus (via Accountability

Solutions (Pty) Ltd) and lawful tracing to obtain updated contact details.

9.7 Acceleration: unpaid amounts may become immediately due without notice;

recovery/tracing/collection costs for the Purchaser’s account.

9.8 Payment plan is not a subscription; no interest on course price.

9.9 Chargebacks: initiating a chargeback on a legitimate charge may result in access suspension and

recovery of reasonable admin/chargeback costs as allowed by law.

Section 10: Cooling‑Off, Refunds & Cancellations

10.1 ECTA s44 (7‑day general e‑commerce cooling‑off) – where applicable and subject to statutory

exceptions.

10.2 CPA s16 (5 business‑day Direct‑Marketing cooling‑off) – where applicable. Cancellation to

[email protected]; refunds may deduct reasonable direct costs.

10.3 CPA s14 (fixed‑term) – we will give renewal notice 40–80 business days before expiry (options

& changes). You may cancel on 20 business days’ written notice, subject to a reasonable

cancellation charge per CPA Regulation 5 factors (reflecting actual losses).

10.4 Digital content: once access is granted, fees are generally non‑refundable except where required

by law (e.g., material defects not remedied within reasonable time).

10.5 Mentoring: ≥ 24 hours’ notice to reschedule/cancel; otherwise forfeited. No‑shows forfeited.

10.6 SOTE: non‑refundable (including disqualification for rule breaches).

10.7 SOTFA: governed by third‑party terms; DSTC/SOT LLC do not handle refunds/payouts.

Section 11: FSCA Brokers; Limitation of Liability

11.1 All active trading must be executed through an FSCA‑registered broker. Commissions/swaps

vary by broker. The Purchaser must familiarise him/herself with broker T&Cs and account rules.

11.2 The object of purchase requires the Purchaser’s own value judgements/trading decisions;

educational purpose only.

11.3 Limitation: to the maximum extent permitted by law, DSTC/SOT LLC, their employees,

contractors, affiliates and reseller agents are not liable for any indirect, special, incidental or

consequential damages. Aggregate liability is limited to the lesser of (i) fees paid in the preceding

3 months for the affected service; or (ii) ZAR 10,000.

Section 12: Account Funding Assistance

12.1 If the Purchaser qualifies for a trading‑account credit with a preferred broker, the Seller may

fund once (in the Purchaser’s name). Otherwise, the Purchaser must open and self‑fund; all

KYC/verification is the Purchaser’s responsibility; re‑deposits by the Purchaser.

12.2 The Purchaser must read and accept the broker’s client agreement, T&Cs and any bonus rules.

Section 13: Privacy (POPIA), Marketing & Testimonials

13.1 Personal information is processed lawfully and minimally to deliver services, billing, fraud

prevention and legal compliance. See Privacy Policy in §24.

13.2 Information Officer: [Insert name & contact]. Cross‑border transfers (if any) rely on adequate

protections or consent. Retention: per policy. Data subject rights: access, correction, deletion,

objection via [email protected]. Information Regulator: [email protected].

13.3 Marketing: you consent to receive promotional materials; you may opt out anytime via

email/unsubscribe links. Testimonials (image/video) may be used with your consent; you may

revoke consent.

Section 14: Messaging Consent

14.1 You opt in to receive WhatsApp/SMS/MMS messages from the Seller. Messaging complies with

provider policies (e.g., Twilio). You may revoke consent at any time via provided opt‑out instructions.

Section 15: High‑Risk Products & General Risk Warning

15.1 Trading the capital/financial markets (including FOREX, CFDs, US Stocks CFDs, Commodities,

Indices, Cryptocurrencies) carries a high level of risk. Never trade with money you cannot afford

to lose; you may lose all your money on a single trade. Always apply risk management. Course

modules, analysis, resources and trade ideas (including any Telegram channels) are for education

only and not investment/financial/trading advice. Past performance is not indicative of future

results. You indemnify DSTC/SOT LLC and their representatives for losses/damages arising from

use or reliance.

Section 16: QuickTrade / Introducing Broker Disclosure

16.1 Smart Online Trader LLC is an Introducing Broker to QuickTrade.World (Pty) Ltd. SOT LLC does

not provide financial advice, portfolio management, or intermediary services as defined under the

FAIS Act, 2002. Its role is strictly limited to introducing potential clients to QuickTrade.World

(Pty) Ltd.

16.2 QuickTrade.World (Pty) Ltd is incorporated in Botswana (Reg. BW00000404456) and acts as

principal and counterparty to all client trades.

16.3 QuickTrade (Pty) Ltd is a licensed FSP regulated by the FSCA (Category I FAIS licence FSP No.

45262).

16.4 Risk Warning: Forex and CFDs are complex, leveraged products and can result in losses

exceeding your original investment and margin. They may not suit all investors. Consider your

objectives, financial situation and risk tolerance. Do not risk more than you can afford to lose.

Read the Risk Disclosure Statement, Client Agreement and Legal Policies on the QuickTrade

website. Seek independent advice where necessary.

16.5 Tax & Exchange Control: Trading CFDs may have tax consequences. Consult a

lawyer/accountant/tax advisor. For international accounts, provide a tax clearance certificate.

International trading is subject to Exchange Control Regulations, 1961 (under the Currency and

Exchanges Act, 1933) including foreign investment allowances.

16.6 Foreign Product Suppliers: As an FSP, QuickTrade (Pty) Ltd may market/sell products of foreign

product suppliers and introduce you to foreign OTC derivatives providers. You are responsible for

complying with all applicable laws when purchasing foreign products or trading OTC derivatives

with foreign providers (including exchange‑control obligations).

Section 17: Acceptable Use & Compliance

17.1 No sharing of accounts, circumvention of controls, platform abuse, market abuse, unlawful

trading behaviours, or violation of SOTE/SOTFA/third‑party rules (including latency/tick

manipulation, prohibited EAs, or coordinated abuse). Breach may result in

suspension/termination without refund

Section 18: Suspension, Termination & Force Majeure

18.1 We may suspend/terminate access for non‑payment, legal/compliance reasons, suspected

fraud/abuse, or material breach. No refunds where suspension/termination results from your

breach. We are not liable for delays/failures caused by events beyond reasonable control (e.g.,

internet/provider outages, regulatory actions, strikes, epidemics, natural disasters, war).

Section 19: Warranties, Liability & Indemnity

19.1 Services are provided “as is” for educational purposes only, without warranties except those

that cannot be excluded by law. Limitation of liability in §11 applies. You indemnify DSTC/SOT

LLC against losses from your breach, unlawful conduct, or misuse of third‑party services.

Section 20: Dispute Resolution & Jurisdiction

20.1 Without prejudice to either party’s right to approach the High Court, the Purchaser and the

Seller consent to the jurisdiction of the Magistrates’ Court of South Africa under section 45 of the

Magistrates’ Courts Act 32 of 1944, even if the claim would otherwise exceed that court’s

jurisdiction. Venue: Gauteng (e.g., Pretoria/Centurion), unless otherwise agreed. Parties shall first

attempt good‑faith informal resolution within 10 business days before litigation.

Section 21: Assignment, Variations & Entire Agreement

21.1 You may not assign this Agreement without prior written consent. We may assign to an

affiliate/successor on notice. We may amend these Terms on reasonable notice for

legal/operational reasons; continued use after notice constitutes acceptance. This Agreement

(with your order/plan description and applicable third‑party terms) is the entire agreement and

supersedes prior discussions. If any provision is invalid, the remainder remains enforceable.

Failure to enforce is not a waiver.

Section 22: Role‑Specific Acknowledgements

22.1 Purchaser: I am authorised; I understand the educational nature and risk disclosures; I accept

the cooling‑off/cancellation terms and jurisdiction clause.

22.2 Student: I will use the content personally and lawfully; I understand SOTE is an evaluation;

mentoring is not financial advice.

22.3 Account Holder: I authorise initial and recurring charges; I will keep payment details current; I

will contact support before initiating any chargeback.

Section 23: Execution & Acceptance (ECTA‑Compliant)

23.1 By clicking an acceptance button, checking a box, submitting payment details, or signing

electronically, you consent to be bound by these Terms.
